Welcome to Lode. By accessing our website or downloading/installing our software ("Product"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, please do not use our Services.

1. Acceptance of Terms

By registering an account, downloading, or using the Product, you confirm that you are at least 18 years old (or of legal age in your jurisdiction) and have the authority to enter into this agreement.

2. Beta Services

The Product is currently in a "Beta" phase. You acknowledge that:

  • The Product may contain bugs, errors, or cause data loss.
  • The Product is provided "AS IS" without warranty of any kind.
  • We are under no obligation to provide technical support, though we may do so at our discretion.

3. Accounts

To download and license the Product, you must create an account.

  • Accuracy: You must provide accurate and complete information (e.g., email address) to maintain your license entitlement.
  • Security: You are responsible for maintaining the confidentiality of your credentials. You are responsible for all activities that occur under your account.
  • Termination: We reserve the right to suspend or terminate your account if you violate these Terms or if we detect fraudulent activity (such as license tampering).

4. Software License

Subject to your compliance with these Terms, Rogie Development grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Product.

A. Beta Offer (Lifetime Pro)

Users who register an account during the Beta period are granted a "Lifetime Pro" license at no cost. This license:

  • Is tied strictly to your user account.
  • Allows installation and activation on up to three (3) computers simultaneously.
  • Is valid for the lifetime of the Product's "Pro" tier features.

B. Validation & Activation

The Product requires an internet connection to activate and periodically validate your license. You agree that the Product may automatically contact our servers to verify your entitlement and hardware fingerprint.

5. Intellectual Property

The Product, including its code, design, and branding ("Lode"), is the intellectual property of Rogie Development. These Terms do not grant you any rights to use our trademarks or logos without prior written permission.

6. Prohibited Conduct

You agree NOT to:

  • Reverse engineer, decompile, or disassemble the Product.
  • Bypass, modify, or tamper with the license activation or security mechanisms.
  • Share your account credentials or license key with third parties.
  • Use the Product for any illegal purpose.

7. Termination

We may terminate your license and access to the Product immediately, without notice, if you breach these Terms. Upon termination, you must cease all use of the Product and uninstall all copies.

8. Analytics & Feedback

To improve the Product, we collect usage data as described in our Privacy Policy.

  • Beta Versions: Usage tracking is a mandatory condition of the Beta license. By using the Beta version, you consent to the collection of telemetry data linked to your account. If you do not wish to be tracked, you must uninstall the Beta version.
  • Stable Versions: Usage tracking is optional. You may opt-out via the application settings.
  • Feedback: If you submit feedback or suggestions, we may use them freely without any obligation or compensation to you.

9. Disclaimer of Warranties

THE PRODUCT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US SHALL CREATE ANY WARRANTY.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROGIE DEVELOPMENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PRODUCT.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in the Netherlands.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision.

13. Changes to Terms

We reserve the right to modify these Terms at any time. All changes will be effective immediately upon posting to the Site. Your continued use of the Site and/or Product after any such changes constitutes your acceptance of the new Terms.
